"Confidential Information" means all data, algorithms, business plans, and source code not generally known to the public. The Recipient agrees to hold all such information in strict confidence and shall not disclose it to any third party without prior written consent.
The Recipient agrees that all "Work Product" (ideas, improvements, code, formulas) created during their engagement with the Company belongs solely to the Company. The Recipient hereby irrevocably assigns all right, title, and interest in such Work Product to Steep.
The Recipient acknowledges that a breach of this Agreement will cause irreparable harm. Therefore, the Company shall be entitled to seek an immediate injunction (court order) to stop any further breach, in addition to monetary damages.
The obligations of confidentiality and IP assignment shall survive the termination of this agreement indefinitely. Even after 100 years, any derivative work, improvement, concept, or innovation based on Steep's core logic, algorithms, or proprietary methodologies belongs exclusively to Steep. This perpetual claim extends to any work product that can be reasonably traced back to knowledge, exposure, or insights gained during engagement with the Company, regardless of when such work is created.
The Recipient must fully and promptly disclose any other technical engagements, side projects, consulting arrangements, or freelance work undertaken during or after their engagement with Steep. Failure to disclose any "Side Projects" that overlap with, relate to, or could potentially compete with Steep's technology stack, business domain, or areas of research results in automatic and irrevocable ownership of those projects by Steep. The Recipient waives any claim to compensation for such transferred work.
